1. Agreement Overview

This Service Agreement ("Agreement") is entered into between Pisa Fuerte LLC, a Limited Liability Company organized under the laws of the State of New Mexico ("Company," "we," "us," or "our"), and the client engaging our services ("Client," "you," or "your"). This Agreement governs the provision of consulting services for health development and online course creation.

By engaging our services, submitting a service request, or making payment for any of our consulting services, you acknowledge that you have read, understood, and agree to be bound by these terms and conditions. This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.

2. Services Provided

Pisa Fuerte LLC specializes in consulting services for health development and online course creation. Our services are designed to help health professionals and subject matter experts transform their knowledge into profitable online businesses. The specific services offered include:

2.1 Go-To-Market Starter

This service includes comprehensive market analysis, positioning strategy development, offer structure design, sales roadmap creation, and launch timeline planning. We work closely with clients to establish a strong foundation for their knowledge business, ensuring proper market positioning and strategic approach to initial sales efforts.

2.2 Curriculum & Outcomes Sprint

Our curriculum development service focuses on transforming client expertise into high-quality online courses. This includes learning outcomes mapping, module structure design, student journey optimization, content quality assurance, and instructional design best practices to ensure maximum student engagement and learning effectiveness.

2.3 Funnel & Ops Tune-Up

This optimization service reviews and enhances the business engine behind online courses. Services include funnel analysis and optimization, email automation setup, operations streamlining, conversion rate improvement, and scalability planning to maximize business efficiency and profitability.

3. Client Obligations

The Client agrees to provide all necessary information, materials, and cooperation required for the successful completion of the consulting services. This includes timely responses to requests for information, participation in scheduled meetings and consultations, and provision of access to relevant business systems or platforms as needed.

The Client is responsible for implementing recommendations provided by Pisa Fuerte LLC and acknowledges that the success of the consulting engagement depends significantly on the Client's commitment to following through with agreed-upon strategies and recommendations.

4. Payment Terms

Payment terms will be specified in individual service agreements or proposals. Unless otherwise agreed in writing, payment is due within thirty (30) days of invoice date. Late payments may be subject to a service charge of 1.5% per month or the maximum rate permitted by law, whichever is less.

All fees are non-refundable once services have commenced, except as specifically provided in individual service agreements. Clients may request modifications to services, which may result in additional fees based on the scope of changes requested.

5. Intellectual Property

All methodologies, frameworks, templates, and proprietary processes developed or utilized by Pisa Fuerte LLC remain the exclusive intellectual property of the Company. Clients receive a limited, non-exclusive license to use deliverables provided as part of the consulting services solely for their intended business purposes.

Any pre-existing intellectual property owned by the Client remains the property of the Client. Work products specifically created for the Client as part of the consulting services will be owned by the Client, subject to Pisa Fuerte LLC's retained rights in underlying methodologies and processes.

6. Confidentiality

Both parties acknowledge that they may have access to confidential information during the course of the consulting relationship. Each party agrees to maintain the confidentiality of such information and not to disclose it to third parties without prior written consent, except as required by law.

This confidentiality obligation survives the termination of this Agreement and continues for a period of five (5) years following the conclusion of services or termination of the Agreement, whichever occurs first.

7. Limitation of Liability

To the maximum extent permitted by law, Pisa Fuerte LLC's total liability for any claims arising out of or related to this Agreement shall not exceed the total amount paid by the Client for the specific services giving rise to the claim.

In no event shall Pisa Fuerte LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, regardless of whether such damages were foreseeable or whether Pisa Fuerte LLC has been advised of the possibility of such damages.

8. Disclaimer of Warranties

Consulting services are provided on an "as is" basis. While Pisa Fuerte LLC strives to provide high-quality consulting services, we make no warranties or representations regarding specific business outcomes or results. Success in business ventures depends on numerous factors beyond our control, including market conditions, client implementation, and external economic factors.

Pisa Fuerte LLC disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Termination

Either party may terminate this Agreement with thirty (30) days written notice. In the event of termination, the Client remains responsible for payment of all services rendered up to the date of termination. Pisa Fuerte LLC will provide all completed work products and deliverables as of the termination date.

Pisa Fuerte LLC reserves the right to terminate this Agreement immediately in the event of Client breach of payment terms, violation of confidentiality obligations, or other material breach of this Agreement.

10. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of New Mexico, without regard to its conflict of law principles. Any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

The arbitration shall take place in Albuquerque, New Mexico, and the decision of the arbitrator shall be final and binding upon both parties. Each party shall bear its own costs and expenses in connection with any arbitration proceeding.

11. Force Majeure

Neither party shall be liable for any failure or delay in performance under this Agreement which is due to fire, flood, earthquake, pandemic, government action, war, terrorism, or other causes beyond the reasonable control of such party. In such event, the affected party shall promptly notify the other party and shall use reasonable efforts to remedy the situation.

12. Modifications and Amendments

This Agreement may only be modified or amended by written agreement signed by both parties. No oral modifications or amendments shall be effective. Any modifications to individual service engagements may be documented in separate statements of work or service agreements that reference this master Agreement.

13. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely approximates the intent and economic effect of the invalid provision.

14. Entire Agreement

This Agreement, together with any statements of work or service agreements that reference this Agreement, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to the subject matter herein.
